Terms of Service for Karpura by SpendGroup LLC

Introduction

Welcome to Karpura and the associated websites (collectively, the “Sites”) provided by SpendGroup LLC (“SpendGroup,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Sites and our services. By using the Sites, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Sites.

PLEASE READ THE FOLLOWING TERMS OF SERVICE CAREFULLY. BY REGISTERING FOR, ACCESSING, BROWSING, OR USING THE WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, INCLUDING THE SpendGroup PRIVACY POLICY AND ANY ADDITIONAL GUIDELINES (AS DEFINED BELOW) (COLLECTIVELY, THE "TERMS").

Modification of the Terms

SpendGroup reserves the right, at our discretion, to change, modify, add, or remove portions of the Terms at any time. Please check the Terms and any Guidelines periodically for changes. Your continued use of the Website after the posting of changes constitutes your binding acceptance of such changes. For any material changes to the Terms, SpendGroup will make reasonable effort to provide notice to you of such amended Terms, such as by an email notification to the address associated with your account or by posting a notice on the Website, and such amended terms will be effective against You on the earlier of (i) your actual notice of such changes and (ii) thirty days after SpendGroup makes reasonable attempt to provide you such notice. Disputes arising under these Terms will be resolved in accordance with the version of the Terms in place at the time the dispute arose.

Eligibility

You must be at least 18 years old to use the Sites. By using the Sites, you represent and warrant that you are at least 18 years old and have the authority to enter into these Terms.

Accounts

To access certain features of the Sites, you may need to create an account. You agree to provide accurate and complete information when creating your account and to keep your account information updated. You are responsible for maintaining the confidentiality of your account password. You agree to notify us immediately of any unauthorized use of your account. You are responsible for all activities that occur under your account.

Services

We offer a variety of multi-tenant online services for nonprofit and not-for-profit organizations (“Organizations”) through the Sites, including:

• Membership management
• Donation management
• Event management
• Volunteer Management
• Email campaign management
• Other services as described on the Sites

We may modify or discontinue any of our services at any time without notice.

Fees

Karpura is offered in both free and paid tiers to meet the needs of nonprofit organizations of all sizes. Our paid tiers are priced competitively to ensure affordability for organizations with varying budgets.

Determining Nonprofit Size
We determine the size of a nonprofit organization based on its annual revenue, as reported on IRS Form 990. This information is publicly available and helps us tailor our pricing to fit the specific needs and resources of different organizations.

Accuracy of Information:
You are responsible for ensuring that any information you provide about your organization’s size or revenue is accurate. Misrepresentation of your nonprofit’s size may result in adjustment of your subscription tier and fees.

Subscription Options

• Free Tier: Provides basic features for smaller nonprofits.
• Paid Tiers: We offer several paid tiers with different features and pricing options to accommodate organizations of various sizes. You can choose a monthly or yearly subscription for any paid tier.

Subscription Commitment and Payment
Choosing a monthly or yearly subscription signifies a commitment to that billing cycle. We charge the full subscription amount upfront, at the beginning of your chosen term (monthly or yearly). Your subscription will automatically renew at the end of your term unless you cancel it before the renewal date.

Cancellations
You can cancel your subscription at any time, but please note that cancellations are non-refundable. Upon cancellation, you will continue to have access to all features included in your plan until the end of your current subscription period. No prorated refunds will be given for the remainder of the term.

Renewal Notice:
We will provide notification at least 30 days​ (for yearly plans) and 7 days (for monthly plans) prior to the automatic renewal of any subscription, giving you time to cancel if you do not wish to renew.

Upgrades
You can upgrade to a higher tier plan at any time during your current subscription. When you upgrade, your new plan will begin immediately, and you will be charged a prorated amount based on the remaining time in your current plan and the price difference between the plans. Your full plan payment for the upgraded tier will start at the beginning of your next billing cycle.

Switching Subscriptions
You can switch from a monthly to a yearly subscription to take advantage of our discounted yearly rates. Due to the discounted nature of yearly subscriptions, we do not allow switching from a yearly subscription to a monthly subscription during the current term. However, you can switch to a monthly plan once your current yearly subscription ends.

Downgrades
To ensure that no functionality limitations are violated, downgrading plans requires a conversation with our customer support team. They can assist you in finding the most suitable plan for your needs. Downgrades can only take effect at the end of your current billing cycle.

Modifications to the Service
SpendGroup reserves the right to modify, suspend, or discontinue the platform or any of its features at any time, with reasonable notice provided.

By subscribing to Karpura, you agree to these terms.

Acceptable Use

You agree to use the Sites and our services only for lawful purposes and in accordance with these Terms. You agree not to use the Sites or our services to:

• Violate any law or regulation
• Infringe any intellectual property rights
• Transmit any harmful or malicious content
• Engage in any fraudulent or deceptive activity
• Harass, stalk, or harm others;
• Collect or store personal information about others without their consent;
• Interfere with the operation of the Sites or our services
• Harm our reputation or goodwill

Intellectual Property

The Sites and our services are properties of SpendGroup and protected by copyright, trademark, and other intellectual property laws. All rights in the Sites and our services are reserved by SpendGroup. You are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms of Service. Any custom-branded donation pages or materials created using Karpura remain the property of SpendGroup unless otherwise agreed in writing. You may not use our intellectual property without our prior written permission.

User Content

You may submit content to the Sites, such as text, images, videos, and other materials (“User Content”). You retain ownership of your User Content, but you grant us a license to use, reproduce, modify, adapt, publish, distribute, and display your User Content in connection with the Sites and our services.

You represent and warrant that you have all necessary rights to submit User Content to the Sites and that your User Content does not violate any third-party rights.

Data Privacy and Security

Data Protection
You are responsible for ensuring that your collection, use, and disclosure of your organization’s Patron/User Data comply with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).  

Consent
You must obtain appropriate consent from your Patrons/Users before collecting, using, or disclosing their personal data. You may use your orgnization website’s privacy policy and terms of service to obtain this consent from your pantrons/users.

Data Breach Notification
You shall promptly notify SpendGroup of any data breach that may affect your Patron/User Data.

Payments

If you choose paid tier service, you agree to our payment terms and conditions. We use third-party payment processors to process payments, and we do not store your payment card information.

Third-Party Content and Links

The Sites may contain links to third-party websites or services. We do not control and are not responsible for the content or practices of third-party websites or services. You use third-party websites or services at your own risk.

Termination

We may terminate your account or access to the Sites at any time, for any reason, without notice. Upon termination, SpendGroup will provide reasonable access to your data for a limited time, after which it may be deleted in accordance with our data retention policies.

Disclaimer of Warranties

The Sites and our services are provided “as is” and without warranties of any kind, express or implied. We disclaim all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any damages arising out of or in connection with your use of the Sites or our services, including, but not limited to, direct, indirect, incidental, consequential, or punitive damages.

Service Interruptions

SpendGroup is not responsible for service interruptions caused by factors beyond our control, including but not limited to natural disasters, internet outages, or cyberattacks. We will make every reasonable effort to restore services as quickly as possible in the event of an interruption.

Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Sites or our services, your breach of these Terms, or your violation of any law or the rights of any third party.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.

In the event of any dispute arising out of or relating to these Terms of Service or the use of Karpura, you agree to resolve the dispute through binding arbitration, rather than in court. Arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA). Each party will be responsible for its own costs related to the arbitration.

Force Majeure

SpendGroup will not be liable for any failure to perform its obligations under these Terms of Service if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or government regulations.

Entire Agreement

These Terms constitute the entire agreement between you and us regarding your use of the Sites and our services.
